Overview
By using the Omnia Business Solutions website and services, you agree to these Terms of Service. All client engagements are governed by our Master Services Agreement (MSA), which establishes detailed terms and conditions. Specific engagements are defined in individual Statements of Work (SOWs) signed by both parties.
Our Services
We offer the following engagement models:
Ongoing Engagements: Sustained operational support with a minimum commitment period. Retainer-based with automatic renewal.
Project-Based Work: Fixed-scope projects with defined deliverables, timelines, and payment terms. Includes strategic planning sessions, assessments, and specialized project work.
Key Terms
Payment: Payment terms are specified in individual SOWs. Work begins upon receipt of required deposits. Late payments accrue interest as permitted by law.
Deliverables: Clients receive one round of revisions per deliverable. Additional changes may require scope adjustments.
Cancellation: Cancellation terms vary by engagement type and are detailed in signed agreements. Project-based work has cancellation fees based on completion percentage. Retainer arrangements require advance notice.
Intellectual Property: Upon full payment, customized deliverables become client property. We retain exclusive ownership of all proprietary methodologies, frameworks, tools, templates, processes, and pre-existing intellectual property used in the delivery of our services. No engagement or payment transfers rights to these assets. Unauthorized reproduction, distribution, or use of our proprietary materials is strictly prohibited and may result in legal action.

Our liability is limited to fees paid under the applicable engagement. We are not liable for indirect or consequential damages. We provide operational guidance but not legal, accounting, tax, or financial advice.
Independent Contractor
We operate as an independent contractor, not as an employee, partner, or agent of client companies. Nothing in these terms or any engagement creates a partnership, joint venture, or employment relationship.
Governing Law
These terms are governed by the laws of Ontario, Canada.
